The rules of working together. We keep them short and readable, so you always know where you stand.
Who we are
Maua is a trade name of Katulondi B.V., a Dutch private limited company registered with the Netherlands Chamber of Commerce (KVK) under number 84821035. Registered office: Tappersweg 14 027, 2031 EV Haarlem, the Netherlands. Postal address: Oder 20 Box C0438, 2491 DC The Hague. VAT number: NL863390602B01.
In these terms, "Maua", "we" and "us" mean Katulondi B.V. Development is done by our own team at PT Exp Inc Software in Solo, Indonesia. We remain responsible for their work.
Who these terms are for
Maua works only for companies and other organisations, such as foundations, not for consumers. By clicking "Akkoord en start", you confirm that you act for your organisation and may bind it to these terms.
How the agreement starts
The agreement starts when you click "Akkoord en start" on your quote. By clicking, you accept these terms and our Data Processing Agreement. Your plan, price and what is included are in your quote. There is no free trial week.
If documents conflict, this order applies: the Data Processing Agreement on anything about personal data, then your quote, then these terms.

Prices for Grow, Onsite, Embedded and Base are in your quote. After the minimum term, your plan continues per month and you can cancel any month with one month's notice.
Base is a separate maintenance subscription. It never comes on top of another subscription: you have either Base or another plan.
Maua's
Your plan includes a number of Maua's per month, as stated in your quote. Unused Maua's expire at the end of the month. They do not roll over.
Extra work
Need more than your plan? An extra sprint costs EUR 500 excl. VAT for about 8 hours of work. For anything outside our agreement, we tell you the price up front and only start after your OK.
Prices and payment
Prices are excl. 21% VAT. If you cannot reclaim VAT, for example as a foundation, we show prices incl. VAT. Payment is through Stripe and billed in advance. If a payment fails, we remind you, and we may pause the work until it is paid.
What we do and don't
We build software, integrations, content and automation within your plan. Bigger builds get a clear plan first, and we start once you agree to it. We do not build anything illegal, harmful or offensive. That line is not negotiable, and we may refuse a task that crosses it.
Response times
A human replies within 4 working hours. Small tasks usually land within 24 hours. These are targets, not guarantees. The clock pauses while we wait for information or access from you or a third party.
Hosting
Your software runs on Hetzner in the EU, in a separate project for each client. The server is in Maua's name or in yours: your choice.
When you stop, we move the server to your own Hetzner project within 14 days. After the contract, the server costs about EUR 4 to 10 per month, which you pay to Hetzner, and your site keeps running.
Domains and access
For your domain, we work through our own account at your domain provider, with your permission. Never with your login details.
Our team uses personal accounts with two-factor authentication. No shared logins. Our access ends on the day the contract ends.
What we need from you
Clear instructions, and only access and materials you are allowed to share. Your approval before we act on your behalf towards others, such as emailing your customers or making payments. Check our work before you rely on it.
Ownership
What we build specifically for you, code, content and configuration, becomes your property once it is paid for. We will sign anything needed to complete that transfer.
We keep our general know-how and the tools and components we use for everyone. Where those are part of your work, you get a free, permanent licence to keep using them. Open-source and third-party parts stay under their own licences.
Confidentiality
We both keep each other's non-public information confidential and use it only for this agreement. This continues after the agreement ends.
Personal data
When we process personal data for you, our Data Processing Agreement applies and forms part of these terms. How we handle our own data about you, such as billing details, is in our Privacy Notice.
Ending the agreement
After the minimum term, cancel any month with one month's notice, by email or WhatsApp. No exit costs.
At the end, you get full access, a current backup and a handover document within 5 working days. Your server moves as described in section 10. If you do not respond to our handover messages, we export your data on day 30 and delete it on day 60.
We can pause or end the agreement if you do not pay, misuse our service or ask for illegal work. We warn you first, unless the situation is urgent.
Liability
Our liability is capped at the amount you paid us in the 3 months before the event. We are not liable for indirect damage or lost profit. These limits do not apply to damage caused by our intent or deliberate recklessness, or where the law does not allow a limit.
Changes
We announce changes to these terms at least 30 days in advance by email. If a change is to your disadvantage, you can cancel before it takes effect, also during a minimum term.
Applicable law
Dutch law applies. Disputes go to the competent court in Noord-Holland, location Haarlem. If these terms exist in more than one language, the English version applies.
